Terms of Service

These Terms of Service ("Terms") govern your access to and use of ApolloTrader ("ApolloTrader", "we", "us", or "our"), available at apollotrader.app. By creating an account or using the service, you agree to these Terms.

1. The Service

ApolloTrader is a trading journal and performance analytics tool. You can import executions from supported brokers, review your history, and see calculated metrics about your trading activity. The service is provided on an "as is" and "as available" basis.

2. Accounts

You need an account to use ApolloTrader. You agree to provide accurate information, keep your credentials secure, and notify us at support@apollotrader.app if you believe your account has been compromised. You are responsible for all activity under your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use ApolloTrader.

3. Your Content

You retain all rights to the trade data, notes, and other content you upload ("Your Content"). You grant ApolloTrader a limited license to store, process, and display Your Content solely to provide the service to you.

You are responsible for ensuring you have the right to upload Your Content and that doing so does not violate any agreement you have with your broker or any law.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or to violate any applicable law
• Attempt to gain unauthorized access to any account, system, or data that is not yours
• Reverse engineer, decompile, or attempt to extract source code from the service
• Use automated means to scrape or overload the service
• Resell, sublicense, or redistribute the service or its data without our written permission

5. Beta Service and Subscriptions

ApolloTrader is currently in public beta. During the beta period, Pro features are provided free of charge. When paid subscriptions launch, pricing and billing terms will be presented to you before any charges are incurred, and you will need to opt in.

Subscription fees, once applicable, are non-refundable except where required by law. Canceling a subscription stops future renewals but does not refund the current billing period.

6. Not Financial Advice

ApolloTrader does not provide financial, investment, legal, or tax advice. Metrics, charts, and analyses describe your past trading activity based on the data you upload. They are not a recommendation to buy, sell, or hold any security, and they should not be relied on as the basis for any trading decision. Trading involves substantial risk of loss. You are solely responsible for your trading decisions.

7. Third-Party Services and Broker Data

ApolloTrader integrates with third-party services (including broker export formats, market data providers, email delivery, authentication providers, and hosting platforms). We are not responsible for the acts, omissions, availability, or content of these third parties. Your use of third-party services may be subject to their own terms.

ApolloTrader is not responsible for the accuracy, completeness, timeliness, or formatting of data imported from third-party brokerages or trading platforms. Our metrics, reports, charts, and calculations are derived entirely from the data you upload or that is provided to us through broker exports, CSV files, or third-party APIs. We do not independently verify this data against your brokerage account.

Without limiting the foregoing, ApolloTrader is not liable for any incorrect, missing, or misleading metric, report, or calculation that results from:

• Changes a broker makes to its export format, column headers, field definitions, or file structure
• Updates to CSV, TLG, or other file formats produced by brokers or trading platforms
• Outages, rate limits, breaking changes, deprecations, or inaccuracies in any third-party API or data feed
• Malformed, truncated, duplicated, or incomplete broker exports
• Discrepancies between your broker's records and the data you upload

You are responsible for reviewing your imported data for completeness and accuracy before relying on any ApolloTrader output. ApolloTrader is not a system of record for your trading activity; your broker is.

8. Intellectual Property

The ApolloTrader name, logo, and the software and content we provide (excluding Your Content) are owned by ApolloTrader and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the service in accordance with these Terms.

9. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms, if continuing to provide service creates undue risk, or if we discontinue the service. On termination, we will delete or anonymize Your Content as described in the Privacy Policy.

10. Disclaimers

To the maximum extent permitted by law, ApolloTrader is provided "as is" and without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or accurate in every case.

11. Limitation of Liability

To the maximum extent permitted by law, ApolloTrader will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data arising out of your use of the service. Our total liability for any claim related to the service will not exceed the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) CAD $100.

12. Indemnification

You agree to indemnify and hold ApolloTrader harmless from any claim arising out of Your Content, your use of the service, or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree that the courts located in Alberta, Canada have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service before the changes take effect. Continued use of ApolloTrader after the effective date constitutes acceptance of the updated Terms.
